Terms of Service
These Terms of Service ("Terms") govern your access to and use of Conversio ("the Service"), a WhatsApp-first CRM platform operated by AmbitX.ai (Pty) Ltd ("AmbitX", "we", "us", or "our"), a company registered in the Republic of South Africa with its principal office in Johannesburg. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Conversio, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, you must not use the Service.
2. Description of Service
Conversio is a cloud-based customer relationship management platform that provides:
- WhatsApp Business API integration for messaging and lead capture
- Automated lead qualification and AI-powered scoring
- Smart lead routing and assignment to sales staff
- Sequence-based automated follow-up messaging
- Sales pipeline management and analytics dashboards
- Multi-user team management with role-based permissions
3. Account Registration and Responsibilities
To use Conversio, you must register an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that all users within your organisation comply with these Terms
- Promptly notifying us of any unauthorised access to your account
- Keeping your contact and billing information up to date
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to create an account.
4. Acceptable Use
You agree to use the Service in compliance with all applicable laws, including POPIA, and the following rules:
You must:
- Comply with Meta's WhatsApp Business Messaging Policy and WhatsApp Commerce Policy
- Obtain proper consent from contacts before sending them WhatsApp messages
- Honour opt-out requests promptly (within 24 hours)
- Use the Service only for lawful business purposes
You must not:
- Send unsolicited bulk messages (spam) via the Service
- Transmit illegal, harmful, threatening, abusive, or discriminatory content
- Attempt to circumvent WhatsApp's messaging limits or rate controls
- Use the Service to collect or process personal information in violation of POPIA
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
- Share your account credentials with unauthorised third parties
- Use the Service in a manner that could damage, disable, or impair its operation
5. Subscription and Billing
- Currency: All prices are quoted and billed in South African Rand (ZAR)
- Billing cycle: Subscriptions are billed monthly or annually, as selected at the time of purchase
- Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 7 days before renewal
- Payment methods: We accept payments via Paystack, Yoco, and PayFast
- Price changes: We will provide at least 30 days' notice of any price increases, effective at the start of your next billing period
- Refunds: We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current paid period
- Failed payments: If a payment fails, we will attempt to collect the payment for up to 14 days. After 14 days, your account may be suspended
6. Data Ownership
You retain full ownership of all data you upload, create, or process through the Service ("Customer Data"). We do not claim any ownership rights over your Customer Data. We process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.
Upon termination of your account, you may request an export of your Customer Data. We will make your data available for export for 30 days following account closure, after which it will be permanently deleted.
7. Intellectual Property
The Conversio name, logo, brand identity, software, user interface, documentation, and all related intellectual property are owned by AmbitX.ai (Pty) Ltd and are protected by South African and international intellectual property laws. These Terms do not grant you any rights to use our trademarks, trade names, or branding without our prior written consent.
8. Service Availability
We use reasonable commercial efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice)
- Emergency maintenance or security patches
- Third-party service outages (including WhatsApp, Supabase, or payment providers)
- Events beyond our reasonable control (force majeure)
We will make reasonable efforts to notify you of planned downtime via the Conversio dashboard or email.
9. Limitation of Liability
To the maximum extent permitted by South African law:
- AmbitX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
- We are not liable for any loss of data, revenue, or business opportunities resulting from Service interruptions caused by third-party providers
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable South African law, including liability for fraud or gross negligence.
10. Termination
- By you: You may cancel your subscription and close your account at any time with 30 days' written notice via the Conversio dashboard or by emailing support@ambitx.ai
- By us: We may terminate or suspend your account with 30 days' notice if you breach these Terms, or immediately if you commit a material breach (including violation of acceptable use policies, non-payment for more than 30 days, or illegal activity)
- Effect of termination: Upon termination, your access to the Service will cease. You may request a data export within 30 days. After 30 days, all Customer Data will be permanently deleted.
11. WhatsApp and Meta Compliance
Conversio integrates with the WhatsApp Business API provided by Meta Platforms, Inc. By using the Service, you agree to comply with:
- Meta's WhatsApp Business Messaging Policy
- Meta's WhatsApp Commerce Policy
- Meta's Platform Terms of Service
We are not responsible for changes to Meta's policies that may affect your use of the Service. If Meta suspends or terminates your WhatsApp Business Account, we cannot guarantee continued message delivery through that channel.
12. WhatsApp Message Delivery Costs
Conversio provides the AI qualification, lead routing, follow-up automation, and CRM functionality included in your subscription plan. The actual delivery of WhatsApp messages is handled by Meta Platforms, Inc. through the WhatsApp Business Platform.
By using the Service, you acknowledge and agree that:
- You are required to set up and maintain your own WhatsApp Business Account with Meta, including linking a valid payment method
- Meta charges conversation-based fees directly to your WhatsApp Business Account for each conversation initiated or received through the platform
- These delivery costs are separate from and in addition to your Conversio subscription fee
- Conversio has no control over Meta's pricing, and Meta may change their conversation rates at any time
- You are solely responsible for monitoring and paying your Meta WhatsApp Business Account charges
- Failure to maintain a valid payment method with Meta may result in message delivery failures, which Conversio cannot resolve on your behalf
For current WhatsApp Business Platform pricing, refer to Meta's official pricing page. As of the date of these Terms, conversation rates in South Africa are approximately R0.30–R0.80 per conversation depending on the conversation category (utility, marketing, or service).
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.
13. Dispute Resolution
In the event of a dispute arising from these Terms or your use of the Service, the parties agree to the following resolution process:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice
- Mediation: If negotiation fails, the dispute shall be referred to mediation administered by a mutually agreed mediator in Johannesburg
- Litigation: If mediation fails, either party may submit the dispute to the jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Conversio dashboard at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
